SOFTWARE: A New Major Comes to Town

The acquisition of Structural Dynamics Research (SDRC) by Electronic Data

Systems (EDS) and the subsequent merger with Unigraphics Solutions (UGS) will

create a new collaboration market leader with significant product development

strength and expertise for bringing to market a new class of collaborative

products and services. The new entity will become a fifth line of business for

EDS and provide customers of SDRC, EDS and UGS with new product lines aimed at

enhancing their competitive advantage.

Announcing the merger, Narendar Reddy, country manager, SDRC India, said,

"The new company created by the combination of SDRC and UGS will become the

undisputed leader in the worldwide market for collaborative product development

management solutions. India already enjoys considerable focus from both merging

organizations, with a portion of the development work being sourced from India.

Further, with the combined revenues of SDRC and UGS in India, the merged

operations of the two organizations will be able to attract even more attention

and resources for the Indian market, which would be immensely useful for our

customers here."

The last two years have witnessed the beginning of a network-based revolution

in the way products are bring designed, developed and manufactured, said Dick

Brown, chairman and CEO, EDS. "UGS has given us a window on this change and

on the emergence of product lifecycle management, where digitized information is

shared instantly and globally. Now is the time to move quickly and decisively to

capture opportunities in this space."

As per Tony Affuso, the proposed head of the combined organization, "SDRC

and UGS believe that together they will be able to deliver a true open,

interoperable solution for product lifecycle management that allows customers to

implement best-in-class solutions that match each customer’s specific business

requirements."

The merger of the two entities has evoked encouraging reaction from market

watchers. CIMdata, a leading strategic consulting and market research

organization for industrial organizations, says, "The creation of this new

entity makes good sense for those involved. The combined customer base is

substantial, and impressive, with some of the largest implementations in the

industry. Their product lines and technologies yield some excellent

opportunities for synergistic strengthening of their overall portfolio of

offerings." It added: "The culture of these two groups do not seem to

be radically opposed, and their integration should result in a stronger

operation as a result of the merger."
